This Agreement remains in effect for five (5) years from the Effective Date, with confidentiality obligations surviving in perpetuity1, and may be terminated by either party upon thirty (30) days' notice.
"Confidential Information" means any information disclosed by either party, whether or not marked as confidential2, including business plans, customer lists and source code, designs and technical data.
This Agreement shall be governed by the laws of the State of Delaware, and the parties consent to exclusive jurisdiction in the courts of the discloser's choosing3.
